DISTANCE SALES AGREEMENT

1. PARTIES

This Agreement is concluded between the parties below, within the framework of the terms and conditions specified below.

By accepting this agreement, the BUYER agrees to pay the price of the order, including any shipping charges, taxes, and additional fees specified, if any, once they confirm the order and acknowledges that they have been informed about these conditions in advance.

2. DEFINITIONS

In the implementation and interpretation of this agreement, the terms listed below will have the following meanings:

• MINISTER: The Minister of Customs and Trade,
• MINISTRY: The Ministry of Customs and Trade,
• LAW: Law No. 6502 on Consumer Protection,
• REGULATION: Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188),
• SERVICE: Any consumer transaction involving the supply of goods or services for a fee or other consideration,
• SELLER: The company that sells goods or acts on behalf of the company in the course of its business or professional activities,
• BUYER: A natural or legal person who acquires, uses, or benefits from a good or service for non-commercial or professional purposes,
• SITE: The website owned by the SELLER,
• ORDERING PARTY: A natural or legal person who requests a good or service from the SELLER’s website,
• PARTIES: The SELLER and the BUYER,
• AGREEMENT: This agreement concluded between the SELLER and the BUYER,
• PRODUCT: Movable goods, as well as non-material goods such as software, sound, video, and similar products prepared for use in electronic environments.

3. SUBJECT

This Agreement regulates the rights and obligations of the parties regarding the sale and delivery of the product, which the BUYER orders electronically through the SELLER’s website, and which is described below with its features and sales price, in accordance with the provisions of the Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts.

The prices listed and announced on the site are the sale prices. The prices and offers announced are valid until they are updated or changed. Announced prices for a limited period are valid until the specified time period ends.

7. PRODUCT/PRODUCTS INFORMATION

1. The basic features (type, quantity, brand/model, color, quantity) of the product/products/service are published on the SELLER’s website. If the SELLER organizes a campaign, the relevant product’s basic features can be reviewed during the campaign period. The campaign is valid until the campaign date ends.

7.2. The prices and offers listed on the site are the sales prices. The prices and offers announced are valid until they are updated or changed. Limited-time prices are valid until the end of the specified period.

7.3. The total sale price, including all taxes for the product or service subject to this agreement, is shown below.

Invoice delivery: The invoice will be delivered together with the order to the invoice address at the time of delivery.

9. GENERAL PROVISIONS

9.1. The BUYER acknowledges, declares, and undertakes that they have read the basic characteristics of the product subject to the agreement, the sales price, the payment method, and the delivery information on the SELLER’s website, and have confirmed the information electronically. The BUYER also acknowledges, declares, and undertakes that they have received and reviewed the required information from the SELLER, including the address, basic features of the products ordered, the price including taxes, and payment and delivery details.

9.2. Each product subject to this agreement will be delivered to the BUYER or to a person or organization designated by the BUYER at the address provided, within the period specified on the website, depending on the distance to the BUYER’s place of residence, not exceeding the legal period of 30 days. If the product cannot be delivered to the BUYER within this period, the BUYER has the right to terminate the agreement.

9.3. The SELLER agrees to deliver the product in accordance with the order specifications, with all documents such as warranty certificates, manuals, and other necessary information, and in compliance with legal standards, ensuring that the product is free of defects and delivered with care.

9.4. If the SELLER cannot fulfill the contractual obligation within the specified period, the SELLER may inform the BUYER and provide an alternative product of equal quality and price, subject to the BUYER’s approval.

9.5. If the delivery of the product or service becomes impossible, the SELLER agrees to inform the BUYER in writing within 3 days of learning this and to refund the total amount paid within 14 days.

9.6. The BUYER agrees to confirm the delivery electronically. If the payment for the product is not made or is canceled by the bank, the SELLER’s obligation to deliver the product is voided.

9.7. If the product is used fraudulently by unauthorized persons after the delivery, resulting in the non-payment of the price, the BUYER agrees to return the product within 3 days, with the shipping costs covered by the SELLER.

9.8. In cases of force majeure or unforeseen circumstances that prevent or delay the delivery, the SELLER agrees to inform the BUYER. The BUYER has the right to cancel the order, request an alternative product, or request a postponement until the issue is resolved. If the BUYER cancels, the product price will be refunded within 14 days for cash payments or within 14 days for credit card payments.

9.9. The SELLER reserves the right to contact the BUYER via the address, email, phone numbers, or other communication details provided, for purposes including marketing, communication, and notifications.

9.10. The BUYER is responsible for inspecting the product before accepting it. Damaged or defective products should not be accepted from the shipping company.

9.11. If the buyer and the person paying by credit card are different, the SELLER may request identification and bank verification from the credit card holder.

9.12. The BUYER guarantees the accuracy of the personal information provided during registration and agrees to compensate the SELLER for any damages caused by incorrect information.

9.13. The BUYER agrees to comply with all legal regulations while using the SELLER’s website.

9.14. The BUYER agrees not to misuse the website in any way that may harm public order, morals, or others' rights.

9.15. Links to other websites not controlled by the SELLER may be provided on the website, but the SELLER does not guarantee the content or safety of these websites.

9.16. If any term of this agreement is violated by the BUYER, they will be legally and financially responsible for the consequences, and the SELLER can demand compensation for any losses.

10. RIGHT OF WITHDRAWAL

10.1. The BUYER can withdraw from the contract within 14 days after the delivery date of the product, without any justification, by notifying the SELLER. If the contract relates to a service, the withdrawal period starts from the signing date of the contract.

10.2. To exercise the right of withdrawal, the BUYER must notify the SELLER within 14 days via registered mail, fax, or email and return the product unused, in original packaging, and with all accessories.

10.3. If the right of withdrawal is exercised, the SELLER is required to refund the total amount paid within 10 days and return any documents that bind the BUYER.

11. PRODUCTS THAT CANNOT BE WITHDRAWN

The right of withdrawal does not apply to products that are personalized, opened, or cannot be returned due to health or hygiene reasons.

12. DEFAULT AND LEGAL CONSEQUENCES

The BUYER agrees to pay interest and legal fees if they default on payment via credit card, in accordance with the agreement with the bank.

13. COMPETENT COURT

In disputes arising from this agreement, complaints and objections will be made to the consumer disputes arbitration board or consumer court located in the consumer’s place of residence or the place where the consumer transaction was made, within the financial limits specified in the law below. Information regarding the financial limit is as follows:

As of January 1, 2017, for applications to consumer arbitration boards in 2017, the value of the dispute will be:

a) In disputes under 2,400 (two thousand four hundred) Turkish Liras, district consumer arbitration boards will be authorized.

b) In disputes between 2,400 (two thousand four hundred) Turkish Liras and 3,610 (three thousand six hundred ten) Turkish Liras in metropolitan municipalities, provincial consumer arbitration boards will be authorized.

c) In disputes under 3,610 (three thousand six hundred ten) Turkish Liras in the centers of cities that are not metropolitan municipalities, provincial consumer arbitration boards will be authorized.

ç) In disputes between 2,400 (two thousand four hundred) Turkish Liras and 3,610 (three thousand six hundred ten) Turkish Liras in districts of cities that are not metropolitan municipalities, provincial consumer arbitration boards will be authorized.

This Agreement is made for commercial purposes.

14. EFFECTIVENESS

The BUYER is deemed to have accepted all the terms of this agreement when the payment for the order placed through the Site is completed. The SELLER is obligated to make the necessary software arrangements to obtain confirmation that the BUYER has read and accepted this agreement on the site before the order is processed.
